Terms of Use

1. Definitions

"Options Mastery Club," "," "we," "us," or "our" refers to Options Mastery Club LLC, a limited liability company organized under the laws of the State of Washington. "You" or "Subscriber" refers to the individual or entity accessing the Service. "Service" refers to the Obsidian Trading Terminal, associated membership features, and all related content. "Market Data" refers to any options, equities, index, or derivatives data displayed within the Service, including data sourced from the Options Price Reporting Authority ("OPRA") and any other data vendor. "Livestream Content" refers to any livestreams, recorded sessions, screen-share sessions, or other video or audio content provided in connection with the Service.

2. Educational and Informational Purpose Only — Not Financial Advice

The Service is an educational and informational market visualization software tool. Options Mastery Club LLC is not a broker-dealer, registered investment adviser, futures commission merchant, commodity trading adviser, exchange, clearing organization, or financial institution. Nothing displayed within the Service, in any associated content, membership communications, Livestream Content, recordings, or materials constitutes financial advice, investment advice, tax advice, a solicitation, or a recommendation to buy, sell, hold, or otherwise transact in any security, option, futures contract, or other financial instrument.

We do not provide trade signals, alerts, model portfolios, or personalized investment guidance of any kind. Any market commentary, observations, narration, or discussion of positions whether in the software interface or in Livestream Content, reflects only the personal educational perspective of the presenter and must not be construed as advice, a directive, or a solicitation to take any action. You are solely responsible for all investment and trading decisions, strategies, position sizing, and outcomes.

3. Risk Disclosure

TRADING SECURITIES AND DERIVATIVES — INCLUDING EQUITY OPTIONS, INDEX OPTIONS, FUTURES, AND LEVERAGED PRODUCTS — INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. YOU MAY SUSTAIN A TOTAL LOSS OF YOUR INITIAL INVESTMENT AND, IN CERTAIN CASES (INCLUDING SHORT SALES, UNCOVERED OPTIONS, AND MARGIN POSITIONS), LOSSES MAY EXCEED YOUR INITIAL INVESTMENT. OPTIONS CAN AND DO EXPIRE WORTHLESS. LEVERAGED AND SHORT POSITIONS CAN PRODUCE LOSSES BEYOND THE CAPITAL DEPLOYED.

PAST PERFORMANCE — WHETHER OF ANY DATA DISPLAY, EXAMPLE, PRESENTATION, STRATEGY, OR COMMENTARY — IS NOT INDICATIVE OF FUTURE RESULTS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN OR DISCUSSED. THERE IS NO GUARANTEE THAT ANY STRATEGY, METHOD, OR SYSTEM WILL PRODUCE PROFITS OR AVOID LOSSES.

Market data and analytics displayed by the Service may be delayed, incomplete, inaccurate, or unavailable at any time without notice. The Service does not guarantee real-time delivery and you should not rely on displayed data as the sole basis for any trading decision. By using the Service, you acknowledge and represent that you understand the risks of trading and that you are financially able to bear such risks, including the complete loss of funds.

THIS RISK DISCLOSURE DOES NOT PURPORT TO DISCLOSE ALL RISKS ASSOCIATED WITH TRADING SECURITIES AND DERIVATIVES. YOU SHOULD CONSULT WITH A QUALIFIED FINANCIAL PROFESSIONAL BEFORE MAKING ANY INVESTMENT DECISION.

4. Market Data Terms and OPRA Compliance

The Service displays market data, including options data sourced from or derived from the Options Price Reporting Authority (OPRA) and other licensed data vendors (collectively, "Redistributed Data"). By accessing the Service, you acknowledge and agree to the following:

(a) Redistributed Data is provided for informational and display purposes only within the authenticated Service interface. You receive no proprietary interest in, nor any right to redistribute, retransmit, publish, sublicense, sell, or otherwise disseminate any Redistributed Data in any form, whether in real-time, delayed, or derived.

(b) You may not record, capture, scrape, download, systematically store, or extract Redistributed Data from the Service by any means, whether manual or automated. Screen recording, screen capture, data export, or any similar activity for the purpose of reproducing or redistributing Market Data is strictly prohibited.

(c) Redistributed Data is provided on an "as is" basis. Neither Options Mastery Club LLC, OPRA, nor any participating exchange, data vendor, or licensor warrants the accuracy, completeness, timeliness, sequence, or availability of any data. None of the foregoing shall be liable for any errors, omissions, delays, or interruptions in any data, or for any actions taken in reliance thereon.

(d) OPRA, each participating options exchange, and each data vendor expressly reserves all rights in Market Data and is an intended third-party beneficiary of these terms to the extent relating to the protection and use of Market Data.

(e) Your access to Redistributed Data is contingent upon your continued compliance with these terms, your active subscription, and any applicable data vendor agreements or entitlements. We may require you to acknowledge or accept supplemental data usage agreements as a condition of receiving certain data feeds. Failure to comply may result in immediate suspension or termination of data access.

(f) We may monitor, log, and audit your usage of Market Data to ensure compliance with these terms, applicable data licensing agreements, and exchange rules. Unauthorized use of Market Data may be reported to the applicable data vendor, exchange, or regulatory authority.

5. No Refund Policy

ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE. By subscribing to the Service, you acknowledge and agree that: (a) no refunds, credits, proration, or chargebacks will be issued under any circumstances, including but not limited to dissatisfaction with the Service, failure to use the Service, cancellation before the end of a billing period, service interruptions, data unavailability, or changes to features or functionality; (b) you authorize recurring charges to your designated payment method at the applicable subscription rate until you cancel; and (c) cancellation of your subscription will take effect at the end of the then-current billing period, and you will retain access until that period concludes.

If you believe a charge was made in error, you may contact us within seven (7) calendar days of the charge. We will review the matter in good faith but are under no obligation to issue any refund or credit. Initiating a chargeback or payment dispute without first contacting us constitutes a violation of these terms and may result in immediate termination of your account and pursuit of all available remedies. We are required however to refund you only if you forgot to cancel your membership and submit a request via "Whop" — our payment provider within (1) business day of renewal.

6. License, Access, and Prohibited Conduct

Access to the Service is licensed to you personally and non-exclusively. This license is non-transferable, non-sublicensable, and revocable at our sole discretion. You may access the Service only through the authentication methods provided by us (currently OAuth-based authentication). You agree not to perform, facilitate, or attempt any of the following:

• share, sell, transfer, redistribute, sublicense, rent, publish, or disclose your account credentials or access in any form to any third party, including by gifting, lending, or otherwise permitting another individual to use your account;
• circumvent, bypass, defeat, or attempt to defeat any access control, device binding, session limit, rate limit, geo-restriction, or authentication mechanism;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, data models, data pipelines, architecture, or business logic of any part of the Service;
• copy, reproduce, clone, imitate, replicate, or create any derivative work based on the Service's user interface, visual design, layout, interaction patterns, data visualizations, display methodology, or user experience, whether in whole or in part;
• develop, build, or assist in building any competing product, service, or tool that substantially replicates or is derived from the functionality, design, workflow, or proprietary methods of the Service;
• scrape, crawl, index, systematically extract, data-mine, or use any automated means (including bots, spiders, scripts, browser extensions, or third-party tools) to access or collect data from the Service unless explicitly authorized by us in writing;
• use the Service for any unlawful purpose, in violation of any applicable law, regulation, exchange rule, securities law, data licensing agreement, or third-party terms of service;
• attempt to probe, scan, or test the vulnerability of the Service or any related system, or to breach any security or authentication measure;
• interfere with or disrupt the integrity, performance, or availability of the Service for other users.

We may monitor usage patterns, session data, and access logs to detect and enforce against prohibited conduct. Unauthorized redistribution, reproduction, reverse engineering, or competitive misuse may result in immediate termination of access without refund, and may be pursued through civil and/or criminal legal proceedings to the fullest extent permitted by applicable law.

7. Intellectual Property

All software, source code, object code, interfaces, data visualizations, display methodologies, algorithms, data models, trade names, branding, logos, documentation, and all other content and materials associated with the Service are the exclusive intellectual property of Options Mastery Club LLC and are protected by applicable copyright, trademark, trade secret, patent, and other intellectual property laws. The "look and feel" of the Service — including its layout, UI presentation of data, color schemes, interaction design, and visual presentation of data — constitutes protectable trade dress.

No content, code, design element, or material may be copied, reproduced, distributed, modified, publicly displayed, or used for any commercial or competitive purpose without prior written consent from Options Mastery Club LLC. All rights not expressly granted herein are reserved.

8. Livestreams and Video Content

Livestream Content is provided for educational and informational purposes only and is used to demonstrate, explain, and contextualize the use of the Service. It does not constitute financial advice, investment recommendations, trade signals, or solicitations of any kind. Livestream Content availability may vary and is not guaranteed. The presenter may be unavailable due to travel, health, personal obligations, technical issues, market holidays, or other circumstances without advance notice. We will make reasonable efforts to communicate significant absences where practicable, but we make no guarantee as to the frequency, regularity, duration, or continuity of Livestream Content. Recordings of past Livestream Content, where available, are for educational review only and may not reflect current market conditions.

9. No Guarantee of Results

THE SERVICE IS A DATA VISUALIZATION AND EDUCATIONAL TOOL. WE MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN PROFITABLE TRADES, IMPROVED TRADING PERFORMANCE, OR ANY PARTICULAR FINANCIAL OUTCOME.

Past performance displayed, discussed, or referenced within the Service, in Livestream Content, or in any associated materials is not a guarantee or reliable indicator of future results. Market conditions, liquidity, execution on your own broker, slippage on your own broker, and other factors may cause actual results to differ materially from any historical data or examples shown. Any testimonials, case studies, or performance examples are not representative of all users and should not be interpreted as a promise of similar results.

10. Service Availability and Maintenance

We will use commercially reasonable efforts to maintain the availability and performance of the Service. However, the Service is provided on an "as is, as available" basis, and we make no guarantee of uninterrupted availability, zero-latency data delivery, or error-free performance. Scheduled and unscheduled maintenance, infrastructure outages, third-party provider disruptions, API changes, or other technical events may cause degraded performance, delayed or missing data, or complete unavailability. We are not liable for any trading losses, missed opportunities, or damages resulting from downtime, data inaccuracies, latency, or service interruptions. Third-party data providers may change their terms, entitlements, or availability at any time, and we cannot guarantee continuity of all data features.

11. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including if we believe you have violated these terms, engaged in abuse, attempted to circumvent access controls, or shared your credentials. You may discontinue use of the Service at any time by canceling your subscription. Upon termination for any reason: (a) your license to use the Service is immediately revoked; (b) no refund, credit, or proration of fees will be issued; and (c) you must immediately cease all use of the Service and destroy any materials derived therefrom. Provisions that by their nature should survive termination will survive, including but not limited to Sections 2, 3, 4, 5, 6, 7, 9, 12, 13, and 14.

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA DISPLAYED WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPTIONS MASTERY CLUB LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY DATA OR CONTENT PROVIDED THROUGH THE SERVICE, OR ANY ACTION OR INACTION TAKEN IN RELIANCE ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Options Mastery Club LLC and its affiliates, members, managers, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and legal costs) arising from or related to: (a) your use of the Service; (b) your violation of these terms; (c) your trading activities, investment decisions, or financial outcomes; (d) your violation of any applicable law, regulation, or third-party right; or (e) any unauthorized use of your account.

14. Dispute Resolution and Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising from or relating to these terms or the Service shall be resolved exclusively through binding arbitration administered in King County, Washington, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or to enforce the prohibited conduct provisions of these terms.

15. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These terms, together with any supplemental data usage agreements or policies referenced herein, constitute the entire agreement between you and Options Mastery Club LLC with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

17. Changes to These Terms

We may update these terms at any time at our sole discretion. Updated terms will be posted and accessible within the Service. Continued use of the Service following any update constitutes your acceptance of the revised terms. If you do not agree to the revised terms, your sole remedy is to discontinue use of the Service.
